1Marketplace Role

ChemBizzSolution provides software, workflow tooling, and marketplace infrastructure. Unless expressly stated in a written agreement, ChemBizzSolution is not the manufacturer of listed goods, is not the importer of record for seller-listed products, and does not take title to third-party inventory merely because it appears on the platform.

Buyers and sellers remain responsible for the commercial terms, product legality, approvals, delivery readiness, and contractual performance associated with their transactions.

2Eligibility, Accounts, and KYC

You must be legally capable of entering a binding business arrangement and must provide accurate registration, contact, and company information. Certain marketplace functions require organization onboarding, KYC review, category approvals, or additional documentation before access is granted.

You are responsible for actions taken by your company account, sub-users, and any credentials issued under your organization.

• Use accurate and current business information
• Maintain valid licenses, tax registrations, and trade approvals
• Restrict access to authorized personnel only
• Promptly disable access for departed or reassigned team members
• Notify ChemBizzSolution of suspected unauthorized access or data misuse

3Product Listings and Commercial Accuracy

Sellers must ensure that listings, specifications, CAS references, SDS or MSDS documents, COAs, pricing, pack sizes, availability, lead times, and certifications are complete, current, and not misleading.

Buyers are responsible for validating that the ordered material is suitable for the intended use, site conditions, and applicable regulatory framework before completing a purchase or accepting delivery.

4Restricted Chemicals and Compliance

You may not use the platform to trade prohibited goods, counterfeit chemicals, undeclared hazardous materials, or products that cannot lawfully be marketed, stored, transported, exported, imported, or used in the relevant jurisdiction.

Each participant is responsible for compliance with laws and guidance relating to classification, labeling, packaging, storage, transport, end-use restrictions, sanctions, export controls, environmental controls, and workplace safety.

5Orders, Logistics, and Acceptance

Order placement, shipment planning, warehouse handoff, and delivery coordination may involve platform tools, but the underlying commercial and operational obligations remain with the relevant contracting parties.

Buyers should inspect documents, quantities, packaging condition, and obvious transit damage at delivery. Delivery acceptance, exception logging, and dispute timing may affect refund or claim eligibility.

6Fees, Taxes, and External Costs

Platform fees, subscriptions, listing fees, commissions, service charges, logistics charges, taxes, duties, bank costs, and gateway deductions may apply depending on the workflow used and the commercial arrangement in place.

Unless a written offer or invoice states otherwise, all amounts are exclusive of applicable taxes and statutory charges.

7Acceptable Use of the Platform

You may not interfere with security features, scrape restricted information, impersonate another person or company, submit fraudulent compliance records, manipulate pricing, or use the platform to facilitate unlawful or unsafe trade.

ChemBizzSolution may suspend, limit, review, or terminate access where misuse, fraud, safety risk, non-payment, or legal non-compliance is suspected.

• Do not bypass approvals, role permissions, or internal controls
• Do not upload false, expired, or altered compliance documents
• Do not use automated tools to extract protected marketplace data
• Do not misuse chat, notifications, or knowledge content for spam or harassment
• Do not route restricted or sanctioned activity through the platform

8Disclaimers and Liability Limits

The platform is provided on an as-available basis. ChemBizzSolution does not guarantee uninterrupted access, the accuracy of third-party listings, uninterrupted carrier performance, or that every transaction will close successfully.

To the maximum extent permitted by law, ChemBizzSolution is not liable for indirect, incidental, consequential, special, punitive, or business interruption losses arising from third-party goods, shipment delays, regulatory holds, user misconduct, or reliance on third-party content.

9Document Precedence, Governing Law, and Notices

If these public Terms conflict with a signed master agreement, purchase order, service order, or other executed document between the relevant parties, the executed document controls for that relationship.
